1. About these Website Terms

1.1 These Website Terms of Use govern access to and use of the publicly available areas, information and content of the MyAssays websites.

1.2 The websites covered by these Terms are:

a. myassays.com;
b. myassays2.com;
c. mycurvefit.com; and
d. any replacement or related website operated by MyAssays Limited that links to these Terms,

together referred to as the “Sites”.

1.3 By accessing or using a Site, you agree to comply with these Website Terms.

1.4 If you do not agree to these Website Terms, you must not use the Sites.

1.5 These Website Terms apply whether you access a Site as a guest, registered user, customer or authorised user of a customer.

2. About MyAssays

2.1 The Sites are operated by MyAssays Limited, also referred to in these Website Terms as “MyAssays”, “we”, “us” or “our”.

3. Relationship with the Service Terms

3.1 These Website Terms apply primarily to publicly available website content and general use of the Sites.

3.2 Registration, Accounts, subscriptions, assay-analysis tools, Customer Content, AI-assisted features, payment services and related functionality are governed by the applicable MyAssays Terms and Conditions of Service, including the Data Processing Schedule.

3.3 If there is any conflict between these Website Terms and the Terms and Conditions of Service concerning an Account or the Services, the Terms and Conditions of Service will prevail.

3.4 Information displayed on a Site about services, subscription plans, pricing or availability does not, by itself, constitute a binding offer.

3.5 Orders, quotations, subscriptions and contracts for Services are governed by the applicable Terms and Conditions of Service and any relevant Order.

4. Access to the Sites

4.1 Access to the Sites is provided on a temporary basis.

4.2 We may update, change, suspend, restrict or withdraw all or part of a Site where reasonably necessary for:

a. maintenance;
b. security;
c. legal or regulatory compliance;
d. technical or operational reasons;
e. changes to our products or services; or
f. discontinuation of a website or feature.

4.3 We do not guarantee that:

a. a Site will always be available;
b. access will be uninterrupted or error-free;
c. all content will always remain available; or
d. a Site will be compatible with every device, browser or operating system.

4.4 You are responsible for making the technical arrangements necessary to access the Sites.

4.5 You are also responsible for ensuring that anyone who accesses a Site through your internet connection is aware of and complies with these Website Terms.

4.6 The Sites are intended primarily for scientific, research, educational, professional and business audiences.

4.7 Individuals under the age of 18 should use the Sites only with appropriate supervision or authorisation from a parent, guardian, employer, educational institution or other responsible organisation.

5. Permitted use

5.1 You may use the publicly available areas of the Sites for lawful personal, educational, research, scientific, professional or business purposes.

5.2 You may:

a. view pages through a standard web browser;
b. print or download reasonable extracts for your own internal, non-commercial reference;
c. share links to publicly available pages; and
d. refer to public MyAssays content with appropriate attribution.

5.3 Any copy of Site content must retain applicable copyright, trade mark and proprietary notices.

5.4 Permitted use of registered Accounts, subscriptions, assay tools and downloaded service outputs is governed by the Terms and Conditions of Service.

6. Prohibited use

6.1 You must not use a Site:

a. unlawfully, fraudulently or maliciously;
b. in a manner that infringes another person’s rights;
c. to transmit or introduce malicious software, viruses, ransomware, spyware, harmful code or other destructive material;
d. to gain or attempt to gain unauthorised access to a Site, server, database, Account or connected system;
e. to interfere with the security, integrity, availability or performance of a Site;
f. to conduct penetration testing, vulnerability scanning or security testing without our prior written permission;
g. to impersonate another person or misrepresent your identity, authority or affiliation;
h. to collect Personal Data unlawfully;
i. to send unsolicited advertising or promotional material;
j. to publish or transmit unlawful, defamatory, discriminatory, abusive, threatening or infringing material; or
k. in any way that could expose MyAssays, another user or a third party to legal, regulatory, operational or security risk.

6.2 Except where applicable law prevents restriction, you must not:

a. copy, reproduce, republish or commercially exploit substantial parts of a Site;
b. modify Site content;
c. frame or mirror a Site on another website or service;
d. use automated systems, robots, crawlers, scrapers or data-extraction tools to access or collect Site content without our prior written permission;
e. systematically download, compile or reproduce Site data or content;
f. reverse engineer, decompile or attempt to extract source code from Site software;
g. circumvent technical restrictions or access controls; or
h. use Site content to develop, train or improve a competing service, model or database without our written permission.

6.3 You must not access areas of a Site that you are not authorised to access.

6.4 We may report suspected unlawful activity to the police, regulators, service providers or other competent authorities where appropriate.

7. Intellectual property

7.1 MyAssays and its licensors own or control all Intellectual Property Rights in the Sites and their content, except where otherwise stated.

7.2 Protected materials may include:

a. software and source code;
b. website designs and layouts;
c. text, graphics, images and illustrations;
d. databases and data structures;
e. assay-related tools and workflows;
f. documentation and guidance;
g. trade marks, service marks, names and logos; and
h. downloadable materials.

7.3 No Intellectual Property Rights are transferred to you by your use of a Site.

7.4 You may use Site content only as expressly permitted by these Website Terms, the Terms and Conditions of Service or applicable law.

7.5 You must not use the MyAssays name, logo or trade marks in a way that:

a. suggests sponsorship, approval or endorsement where none exists;
b. may confuse users about the source of goods or services; or
c. damages or takes unfair advantage of our reputation.

7.6 Permission to use MyAssays branding must be obtained in writing.

8. Public user-submitted content

8.1 This section applies only where a Site provides a feature that allows a user intentionally to submit content for public or shared display, such as a discussion area, comment facility or public contribution feature.

8.2 This section does not apply to:

a. Customer Content processed through the Services;
b. information submitted through an Account;
c. assay measurements, Sample IDs or uploaded files;
d. support requests;
e. private correspondence;
f. payment information; or
g. information submitted through a non-public feature.

8.3 Those materials are governed by the Terms and Conditions of Service, the Privacy Policy and any applicable confidentiality or data-processing obligations.

8.4 You retain ownership of content that you submit for public display.

8.5 By submitting content for public display, you grant MyAssays a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, format and distribute that content only as reasonably necessary to operate, moderate and provide the relevant feature.

8.6 You confirm that:

a. you have the right to submit the content;
b. its publication does not infringe another person’s rights;
c. it does not contain confidential information that you are not authorised to disclose;
d. it is not unlawful, defamatory, discriminatory, threatening or malicious; and
e. it does not contain Personal Data that you are not authorised to publish.

8.7 We may remove, restrict or moderate submitted content where we reasonably believe that it:

a. breaches these Website Terms;
b. infringes another person’s rights;
c. creates a security or legal risk; or
d. is inappropriate for the relevant feature.

8.8 Where a person makes a valid legal complaint concerning submitted content, we may disclose relevant information where:

a. required by law, court order or a competent authority; or
b. reasonably necessary to investigate, establish, exercise or defend legal rights.

8.9 We are not required to monitor all user-submitted content before it is published.

9. Information on the Sites

9.1 Public content on the Sites is provided for general information only.

9.2 Site content is not intended to constitute:

a. medical or clinical advice;
b. diagnostic or treatment advice;
c. legal or regulatory advice;
d. professional laboratory advice;
e. a substitute for manufacturer instructions; or
f. a substitute for independent scientific validation or professional judgement.

9.3 You must obtain appropriate professional advice and carry out any necessary validation before acting or relying on information obtained from a Site.

9.4 We use reasonable efforts to keep public information accurate and current, but we do not guarantee that all information is:

a. complete;
b. accurate;
c. current;
d. suitable for a particular purpose; or
e. free from errors or omissions.

9.5 Scientific knowledge, regulatory requirements, software functionality, products and third-party information may change over time.

9.6 References to third-party products, manufacturers, assays, kits or services do not imply endorsement unless expressly stated.

9.7 Information about MyAssays Services, including descriptions and pricing, may be changed before an Order is accepted.

9.8 The Terms and Conditions of Service govern responsibility for assay calculations, Customer Content, reports, AI-assisted output and subscription Services.

10. Viruses and security

10.1 We use reasonable measures intended to maintain the security of the Sites.

10.2 We do not guarantee that a Site will always be free from:

a. bugs;
b. errors;
c. vulnerabilities;
d. malicious code; or
e. other harmful components.

10.3 You are responsible for:

a. using appropriate security software;
b. maintaining secure devices and networks;
c. installing relevant software and security updates; and
d. protecting your systems when downloading or using online material.

10.4 You must not knowingly introduce malicious or harmful material into a Site.

10.5 If you become aware of a potential security vulnerability affecting a Site, you should report it privately to MyAssays and must not publicly disclose or exploit it without giving us a reasonable opportunity to investigate and address it.

11. Privacy and cookies

11.1 We process Personal Data relating to visitors and users as described in the MyAssays Privacy Policy.

11.2 The Privacy Policy explains:

a. the categories of Personal Data we collect;
b. the purposes and lawful bases for Processing;
c. the organisations with which information may be shared;
d. international-transfer arrangements;
e. retention periods;
f. security measures; and
g. individuals’ data-protection rights.

11.3 The Privacy Policy is a transparency notice and does not form part of these Website Terms.

11.4 Accessing or using a Site does not constitute consent to every Processing activity described in the Privacy Policy.

11.5 Where consent is legally required for a specific activity, we will request it separately.

11.6 The Sites currently use cookies and similar technologies that are necessary to operate, secure and provide the Sites and related Services.

11.7 Further information about cookies and similar technologies is provided in the Privacy Policy.

12. Links to the Sites

12.1 You may link to a publicly available page of a Site, provided that the link:

a. is lawful and fair;
b. does not damage or take unfair advantage of our reputation;
c. does not suggest an association, approval or endorsement where none exists;
d. does not display the Site within a frame; and
e. does not direct users to content in a misleading context.

12.2 You must not establish a link from a website that contains unlawful, defamatory, discriminatory, infringing or malicious content.

12.3 We may request removal of a link where it breaches these Website Terms or creates a legal, security or reputational risk.

12.4 You must not use MyAssays logos or branding as part of a link without prior written permission.

13. Third-party websites and services

13.1 The Sites may contain links to websites, resources or services operated by third parties.

13.2 Third-party links are provided for information or convenience only.

13.3 We do not control third-party websites and are not responsible for:

a. their availability;
b. their content;
c. their security;
d. their privacy practices;
e. products or services they provide; or
f. losses arising from their use.

13.4 A link does not imply that MyAssays endorses the third party or its products, services, views or content.

13.5 You should review the terms, privacy information and security practices of a third-party website before using it or providing Personal Data.

14. Liability

14.1 Nothing in these Website Terms excludes or limits liability for:

a. death or personal injury caused by negligence;
b. fraud or fraudulent misrepresentation;
c. any liability that cannot lawfully be excluded or limited; or
d. any statutory right that cannot lawfully be restricted.

14.2 The public content and publicly accessible areas of the Sites are provided on an “as available” basis.

14.3 To the fullest extent permitted by law, MyAssays excludes implied warranties, conditions and representations relating to free public Site content.

14.4 Subject to clause 14.1, MyAssays is not liable for loss arising solely from:

a. reliance on free public Site content;
b. temporary unavailability of a public Site;
c. use of a third-party website linked from a Site;
d. incompatibility between a Site and a user’s equipment or software; or
e. failure by a user to take reasonable security precautions.

14.5 Subject to clause 14.1, where you use the Sites for business purposes, MyAssays will not be liable for:

a. loss of profit;
b. loss of revenue;
c. loss of anticipated savings;
d. loss of business or opportunity;
e. loss of goodwill or reputation; or
f. indirect or consequential loss,

arising from use of the public areas or public content of the Sites.

14.6 Liability arising in connection with an Account, subscription, Customer Content, assay analysis, report, AI-Assisted Feature or other Service is governed by the Terms and Conditions of Service.

14.7 Nothing in these Website Terms affects any mandatory rights you may have under applicable law.

15. Suspension and termination of access

15.1 We may suspend, restrict or terminate access to all or part of a Site where we reasonably believe that a user:

a. has breached these Website Terms;
b. has engaged in unlawful or fraudulent conduct;
c. presents a security or operational risk;
d. has attempted unauthorised access; or
e. has used the Site in a manner likely to harm MyAssays, another user or a third party.

15.2 We may take immediate action where delay would create a material legal, security or operational risk.

15.3 Where appropriate and reasonably practicable, we will provide notice of the reason for the restriction.

15.4 Suspension or termination of an Account or subscription is governed by the Terms and Conditions of Service.

16. Changes to the Sites

16.1 We may update or change the Sites and their public content from time to time.

16.2 We may remove or discontinue content without maintaining an archived public copy.

16.3 Users should not rely on the continued availability of any particular public page, resource or feature.

16.4 Material contractual changes to registered Accounts or Services will be handled under the Terms and Conditions of Service.

17. Changes to these Website Terms

17.1 We may update these Website Terms to reflect:

a. changes in law or regulatory guidance;
b. changes to the Sites;
c. security or technical requirements;
d. changes to our business or organisational structure; or
e. reasonable operational requirements.

17.2 Updated Website Terms will apply to use of the Sites from the effective date stated at the top of the updated document.

17.3 Changes will not retrospectively alter rights or obligations that arose before the updated Website Terms took effect.

17.4 Where reasonably appropriate, we will bring material changes affecting registered users to their attention.

17.5 Changes affecting Accounts, subscriptions or Services will be handled in accordance with the variation provisions in the Terms and Conditions of Service.

17.6 You should review these Website Terms periodically.

18. General provisions

18.1 No waiver

A failure or delay by MyAssays in exercising a right does not waive that right.

18.2 Severability

If any provision of these Website Terms is held to be invalid or unenforceable, it will be modified to the minimum extent necessary or, if modification is not possible, deleted. The remaining provisions will continue in effect.

18.3 No partnership or agency

Nothing in these Website Terms creates a partnership, joint venture, employment relationship, fiduciary relationship or agency between you and MyAssays.

18.4 Third-party rights

A person who is not a party to these Website Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.

18.5 Headings

Headings are included for convenience and do not affect interpretation.

19. Governing law and jurisdiction

19.1 These Website Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales.

19.2 If you use the Sites for business or professional purposes, the courts of England and Wales have exclusive jurisdiction over disputes arising from these Website Terms.

19.3 If you are acting as a consumer, the courts of England and Wales will have non-exclusive jurisdiction, and you may also have the right to bring proceedings in another jurisdiction under mandatory applicable law.
